Terms of Service
These terms govern your use of MatMul — the matmul.cloud website, the early-access waitlist, and, once you have access, the MatMul service: your account, the console, CLI, SDK and API, prepaid credits, and the GPU instances you run. By using any of them you agree to these terms and to our Acceptable Use Policy, which is part of them. If you use MatMul for an organization, you agree on its behalf and confirm you're authorized to.
1. The service
MatMul lets you find GPU and CPU capacity from third-party cloud providers, launch instances running your container image, and connect to them. The underlying hardware is operated by those providers, not by MatMul. Anything on the site describing future capabilities, performance or availability is forward-looking and may change.
2. Your account
- You must be at least 18 and give accurate information, including a working email address.
- You're responsible for everything done with your account, API keys and SSH keys. Keep them secret and tell us at once if you think they've been compromised.
- One person or organization per account. Don't share, sell or resell access, or create accounts to get around limits or a suspension.
- We may decline, limit or close accounts at our discretion, including to prevent fraud.
3. Prepaid credits and pricing
- The service is prepaid. You buy credits in advance; running instances use them up at the hourly price shown when you launch, metered while the instance runs.
- Prices can change; a change applies to instances launched after it.
- Credits are not money, carry no interest, can't be transferred, and can only be used on MatMul.
- Payments are processed by Stripe. We don't see or store your full card number. You may be asked to authenticate a payment with your bank (3D Secure).
- Prices exclude taxes; you're responsible for any that apply.
4. Limits, freezes and termination of instances
To protect you and us from fraud and runaway costs, accounts have limits — for example on the size and frequency of top-ups and on spending per 24 hours. We may set, change or lift limits at our discretion; ask us if you need higher ones. When your balance reaches zero or you reach a spending limit, new launches are blocked and your account is frozen. If it stays frozen past a grace period, your running instances are terminated. We'll try to warn you before that by email and in the CLI/API, but warnings can fail — keep an eye on your balance.
5. Refunds
- Credits used for instances are not refundable, including instances you forgot to stop.
- You may ask for a refund of unused credits by emailing us; we decide case by case.
- Accounts suspended or closed for breaking these terms or the Acceptable Use Policy get no refund.
6. Chargebacks
If something's wrong with a charge, contact us first — we'll try to fix it. If you dispute a payment with your bank instead, we may suspend your account and stop your instances while the dispute is open, and close it if the dispute was unfounded.
7. Your workloads and data
- You keep all rights to the code, images and data you run or store ("your content"). You give us permission to host, copy and transmit it only as needed to run the service.
- You're responsible for your content and for having the rights to use it, and for how your workloads behave, including any traffic they send.
- Instances and their disks are temporary. When an instance is terminated — by you, by a limit, or by the provider — its data is deleted and can't be recovered. Keep copies of anything you care about somewhere else.
- We may look at resource usage and network metadata (not the contents of your data) to operate the service and enforce these terms.
Content you publish through public app links
- If you expose a port on your instance as a public app link, anyone with the address can reach it. You're the publisher of what it serves, and responsible for it and for the people you share it with. It must follow the Acceptable Use Policy, including its section on public app links.
- App links are served from an address we control, so our name and our providers' are attached to them. We may limit, suspend or remove any link at any time, without notice, for example after an abuse report or if your account is frozen or not yet verified. We aren't liable for links we remove or for traffic you lose as a result.
- We don't monitor what your links serve, but we act on reports. Anyone can report a link at matmul.cloud/report-abuse. We keep a record of who created each link and when.
- You'll defend and compensate us against claims arising from content you publish through an app link, under section 13.
8. Third-party providers and availability
Capacity comes from third-party providers and may be unavailable, interrupted, reclaimed or degraded at any time. We don't offer an uptime commitment (SLA). If a provider terminates an instance, we'll stop charging for it from that point.
9. Sanctions and export control
You confirm that you're not located in, or ordinarily resident in, a country or region under comprehensive U.S. sanctions, and that you're not on any U.S. government list of restricted parties. You won't use the service in violation of export control or sanctions laws, including for prohibited end uses.
10. Suspension and closure
We may suspend or close your account, and stop your instances, immediately if we reasonably believe you've broken these terms or the Acceptable Use Policy, your use creates risk for us, our providers or others, or the law requires it. You can close your account at any time by emailing us. Sections 3, 5–7 and 11–13 survive closure.
11. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
12. Limitation of liability
To the fullest extent permitted by law, MatMul is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. MatMul's total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.
13. Indemnity
You'll defend and indemnify MatMul against third-party claims arising from your content, your workloads, or your breach of these terms or the Acceptable Use Policy.
14. Intellectual property
The MatMul name, logo, site, software and documentation belong to MatMul. Third-party names (e.g. SkyPilot and the providers referenced) belong to their owners and are used for identification only; their mention doesn't imply endorsement or affiliation. If you send us feedback, we may use it freely.
15. Changes
We may update these terms. For material changes we'll give you notice by email or in the console before they apply. Continuing to use the service after that means you accept the updated terms.
16. Governing law
These terms are governed by the laws of the jurisdiction where MatMul is established, without regard to conflict-of-laws rules.
